Naming Guidelines as per Companies Act 2013

In view of carrying out the function of processing and disposal of applications for reservation of names, the Government of India has established a Central Registration Centre (CRC). As per its notification dated 22nd January 2016, the CRC is having territorial jurisdiction all over India.

According to the Act, the CRC shall function under the administrative control of Registrar of Companies, Delhi (ROC Delhi), who shall act as the Registrar of the CRC until a separate Registrar is appointed to the CRC.

The functions of the CRC involves processing of the applications for reservation of name i.e., e-Form No. INC-1 filed along with the prescribed fee as provided in the Companies (Registration of Offices and Fees) Rules, 2014. It is also stated in the circular that the processing and approval of name or names proposed in e-Form No. INC-29 shall continue to be done by the respective Registrar of Companies having jurisdiction over the incorporation of companies under the Companies Act, 2013.

As per the Act, the name of the company or a Limited Liability Partnership should be approved. The process of incorporation of a company of any type and an LLP begins with the registration of its name. The application for name reservation or registration can be made online in the web portal of the Ministry of Corporate affairs.

An application for registering company name should be in a prescribed format, i.e. INC-1 and pay the appropriate amount for such registration.

The duly filled form can be uploaded in the MCA web portal.

Few Things to Remember:

  1. Provide 6 optional names for your company
  2. Naming of the Company should be as per Guidelines

Pre-Requisites

  1. The Promoters or Designated Partners should obtain their Digital Signature Certificate
  2. Payment for such application
